Sample Photo Licensing Agreement (US)

Parties Involved:

Licensor: ABC Photography Inc.

Licensee: XYZ Media LLC

Photo Description:

The licensed photograph pertains to a high-resolution digital image titled “Sunset Over the City,” captured on June 10, 2023, at Downtown Los Angeles, or other agreed-upon images as specified in subsequent amendments.

License Terms:

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the specified photograph for commercial purposes, including advertising, marketing, and online distribution, subject to the conditions herein.

Usage Restrictions:

The Licensee shall not modify, sublicense, or sell the photograph without prior written consent from the Licensor. Usage is limited to the purposes outlined in this agreement.

License Fee:

In consideration of this license, the Licensee shall pay a fee of $1,000, payable upon signing this agreement.

Term of License:

This license shall commence on the date of signing and shall remain valid for a period of 12 months, unless terminated earlier in accordance with this agreement.

Governing Law:

This agreement shall be governed by the laws of the State of California. Disputes shall be resolved within the courts of Los Angeles County.

• The Licensee shall attribute the photograph to the Licensor when used publicly.
• This agreement can only be modified in writing signed by both parties.
• The Licensor warrants that they hold the rights to the photograph and that granting this license does not infringe on third-party rights.
