Parties Involved:

Disclosing Party: XYZ Corporation

Purpose of Data Sharing:

This agreement outlines the terms and conditions for sharing certain data between the Parties for the purpose of collaborative analysis and research, in accordance with applicable US laws.

Data Description:

The data to be shared includes customer demographics, transaction records, and usage analytics, as detailed in Appendix A.

Data Usage and Restrictions:

The Receiving Party agrees to use the data solely for the purposes specified herein and shall not disclose or distribute the data to third parties without prior written consent from the Disclosing Party.

Data Security:

Both Parties shall implement appropriate security measures to protect the data against unauthorized access, alteration, or destruction, in compliance with applicable US data protection laws.

Governing Law:

Term and Termination:

This agreement shall commence on the Effective Date and continue for a period of one year unless terminated earlier by either Party with thirty (30) days’ written notice. On termination, all shared data shall be securely returned or destroyed.
