Sample Outsourcing Agreement (US)
Parties Involved:
Service Provider: XYZ Solutions Inc.
Address: 123 Business Rd., New York, NY 10001
Client: Acme Corporation

Scope of Services:
The Service Provider agrees to perform the outsourcing services outlined in Schedule A, including software development, support, and maintenance for the Client’s designated applications.
Term and Termination:
This agreement shall commence on the Effective Date and continue for a period of 12 months, unless terminated earlier by either party with 30 days’ written notice.
Payment Terms:
The Client shall pay the Service Provider a fee of $50,000 per quarter, payable within 15 days of invoice receipt. Additional expenses shall be reimbursed upon prior approval.
Responsibilities of Service Provider:
The Service Provider shall deliver services in accordance with industry standards, meet deadlines, and maintain confidentiality of all Client data.
