Preferred Vendor Agreement (Sample US Template)

Parties Involved:

Vendor: XYZ Supplies Inc.
Address: 123 Commerce Blvd, New York, NY 10001

Client: ABC Corporation
Address: 456 Business Road, New York, NY 10002

Scope of Services:

The vendor agrees to provide the products and/or services as specified in Schedule A attached hereto, under the terms and conditions set forth herein.

Term and Termination:

This agreement shall commence on __________________ and continue until __________________ unless terminated earlier in accordance with this agreement. Either party may terminate with thirty (30) days written notice.

Payment Terms:

Payments shall be made as set forth in Schedule B, and are due within thirty (30) days of receipt of invoice. Late payments shall accrue interest at a rate of 1.5% per month.

Vendor Responsibilities:

The vendor shall perform all services in a professional manner, in accordance with industry standards, and in compliance with applicable laws and regulations.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of New York. Disputes shall be resolved in the courts of New York County.

Additional Provisions:

  • The client agrees to provide timely access to necessary facilities and information.
  • This agreement may only be modified by a written amendment signed by both parties.
  • Confidentiality obligations shall survive termination of this agreement.
