Content Licensing Agreement – US Sample

Parties Involved:

Licensor: XYZ Content Providers Inc.
Address: 123 Main Street, New York, NY 10001

Licensee: ABC Media Corporation
Address: 456 Broadway Ave, Los Angeles, CA 90028

Licensed Content:

The content subject to this agreement includes digital media materials, including videos, images, and textual content, detailed in Schedule A, to be licensed for exclusive or non-exclusive use as specified herein.

License Terms:

The Licensor grants the Licensee a non-exclusive, worldwide license to use, reproduce, display, and distribute the Licensed Content for the duration specified in this agreement, subject to the conditions herein.

Licensing Fees:

The Licensee shall pay the Licensor a licensing fee of $X, payable within 30 days of the effective date. Additional royalties or payments may be negotiated and specified in Schedule B.

Rights and Responsibilities:

The Licensor warrants ownership and the right to license the Content. The Licensee agrees to use the Content solely as permitted and shall not sublicense or transfer rights without prior written consent.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of New York. Any disputes shall be subject to the exclusive jurisdiction of the courts of New York County.

Additional Provisions:

• The Licensee shall not modify or create derivative works from the licensed Content without the Licensor’s written consent.
• This license is non-transferable without prior approval.
• All intellectual property rights remain with the Licensor.
