Sample Supplier Quality Agreement (U.S. Edition)
Parties Involved:
Supplier: Acme Components Inc.
Address: 1234 Industrial Drive, Houston, TX 77001
Buyer: XYZ Manufacturing LLC
Address: 5678 Production Ave, Houston, TX 77002
Scope of Supply:
This agreement covers the supply of electronic components, including resistors, capacitors, and integrated circuits, as detailed in Schedule A attached hereto.
Quality Standards:
The Supplier agrees to manufacture and deliver products in accordance with the specifications outlined in the Quality Requirements Document and comply with applicable industry standards such as ISO 9001.
Inspection & Testing:
The Buyer reserves the right to perform inspections and tests upon receipt of goods. Supplier shall provide necessary documentation and access for inspection purposes.
Delivery Terms:
The Supplier shall deliver the products according to the delivery schedule specified in Schedule B, adhering to the agreed lead times and shipping conditions.
Compliance & Regulatory Requirements:

This agreement shall commence on the date signed below and remain in effect for a period of two years, unless terminated earlier with thirty (30) days’ written notice by either party.
Governing Law:
This agreement shall be governed by the laws of the State of Texas. Disputes shall be resolved within the jurisdiction of the Houston courts.
Additional Provisions:
- The Supplier shall adhere to confidentiality requirements regarding proprietary information.
- All changes to specifications or terms must be made in writing and signed by both parties.
- The Supplier shall maintain records of quality inspections and testing for a minimum of three years.
