Parties Involved:

Business Purpose:
The LLC is formed to engage in the business of real estate investment and management within the State of New York, and to engage in any lawful activities related thereto as determined by the members.
Management Structure:
This LLC shall be member-managed, with all members participating equally in decision-making, or as otherwise specified herein.
Capital Contributions:
Members shall contribute capital as agreed upon, detailed in Schedule A, and additional contributions shall be made upon unanimous consent.
Profit and Loss Distribution:
