Definition of Confidential Information:

For purposes of this agreement, “Confidential Information” includes all written, electronic, or oral information provided by the Disclosing Party to the Receiving Party, including but not limited to business plans, financial data, trade secrets, and proprietary information.

Obligations of Receiving Party:

The Receiving Party agrees to maintain the confidentiality of the Confidential Information, not disclose it to third parties without prior written consent, and use it solely for the purpose of [specific purpose, e.g., evaluating a potential business relationship].

Exclusions from Confidential Information:
